Terms of Service
PreambleEffective: October 1st, 2020
These Terms of Service constitute a legally binding agreement made between you (the
“user”), whether personally or on behalf of an entity (otherwise “User Business”) and Stitch (otherwise “we,”
“us” or “our”), concerning your access to and use of the website (www.stitch.ng), as
well as any other media form, media channel, mobile web app (app.stitch.ng) or a mobile
application related, linked, or otherwise connected thereto (collectively, the “Site”)
which will provide value to the user business through it’s ("Services") through Stitch (otherwise “us”).
You agree that by accessing the Stitch site, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Stitch site and must discontinue use immediately.
Supplemental Terms of Service or documents that may be posted on the Stitch site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason.
We will alert you about any changes by updating the “Effective ” date of these Terms of Service, and you waive any right to receive specific notice of each such change.
It is your responsibility to periodically review these Terms of Service to stay informed of updates. You will be subject to and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Service by your continued use of the Stitch site after the date such revised Terms of Service are posted.
The information/artifacts/medium provided on the Stitch and especially the Site is not intended for distribution/duplication to or use by any person or entity in any jurisdiction or African country where such distribution/duplication or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or African country.
Accordingly, those persons who choose to access the Stitch and the Site from other locations do so on their own initiative and are solely responsible to be in compliance with local copyright laws ( where enforceable), if and to the extent that such local laws are applicable.
Finally, throughout these Terms of Service where we refer to 'user', 'you' or 'your' we mean each registered subscriber to the “Services” we provide - ( FIT-CABINET, FIT-MEASURE ). When we refer to ‘“end users”, we mean the users, visitors, and customers of your fashion design/tailoring business who also make use of our Service through you. When we refer to “personal data”, we mean that any information that can personally identify an individual or your customer or any business of yours using the stitch service.
You will be required to register with the Site to use our “Services”. We warrant that you agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable and fraudulent. Registration is completed using our third-party authorization provider and social platform helper - Instagram.
The “Services” we offer are categorized into 3 plans ( E-TAILOR, GARMENTMAKER & SEAMSTER ) made up of 2 product packages ( FIT-CABINET, FIT-MEASURE ) distributed into each tire in groups. These services are provided as a unit under each services tier. It is not possible to use and/or request to use only one product package exclusively under any given plan (it is always comprehensive). The “User” can only create a single “User Account” under not more than one plan.
trial period for products/services
A trial period of 7 days only is hereby established as soon as you sign up for the Services of Stitch and obtain a “User Account” within which you are expected to try out the product to find out if it is the right fit for your fashion business. Before the trial ends you need to have used the “Services” at least once to be eligible for the next 21 days of usage (which requires no payments as well).
Fees and payments
Your( the “User” ) agree to pay Stitch any fees and charges due for the “Services” subscribed to. The Site “User Account” is post-paid and non-refundable. The fees for any given subscription is also non-cancelable. Payment is to be made by the 31st or 32nd after a 30-day usage cycle or 22nd day after the 21 day usage cycle ( just after the trial period ). Payment methods include ussd transfer, bank transfer or credit/debit card payment. We collect all our fees via our official payment processor - Paystack (online only - for now). We reserve the right to deactivate any Site “User Account” which is overdue on fees and payments. Also, because we are a novel market service trying to serve customers with superior service and also make a profit. We may revise our pricing model ( and the price of our “Services” ) in the future to achieve this. We will be adding additional product packages ( namely FIT-VIEW ) to our “Services” tier(s). However, we will try to make it such that you aren’t spending more than necessary. Our “Services” will always be at a price within your ( “User” ) reach.
After choosing a plan from any of our 3 plans (E-TAILOR, GARMENTMAKER & SEAMSTER) and signing up to obtain a “User Account” through our pricing page for the use of our “Services”, you will be given access to the Site via a username and password generated by you and recorded the Site. You may utilize a third-party service called Instagram to login and have some of the registration data you supply shared temporarily to another third-party service called Okra to verify the business data supplied to create your “User Account”.
You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial and business-related endeavors except those that are specifically endorsed or approved by us.
As a user of the Site, you agree not to:
- Systematically and illegally retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without correctly logging into your user account.
- Utilize the service resources provided by Stitch to commit crimes or aid any criminal activity.
limitations of liability
Our liability to and for the losses you suffer as a result of a breach of this Agreement (including deliberate and/or accidental breaches) is strictly limited to the purchase price of the plan you chose and purchased and/or total fees payable at the time of the breach (whichever is greater).
intellectual property rights
Unless otherwise indicated, the Site is our proprietary property and all source
code, databases, functionality, software, website designs, audio, video, text,
photographs, and graphics on the Site and by extension Stitch (collectively, the “Content”) and the
trademarks, service marks, and logos contained therein (the “Marks”) are owned or
controlled by us or licensed to us, and are protected by copyright and trademark laws
and various other intellectual property rights and unfair competition laws of the
Federal Republic of Nigeria and other international conventions.
The Content and the Trademarks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Service, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
suspension of account
We reserve the right to suspend the Services immediately for the following reasons:
- We are required by the law (Nigerian or any applicable international law) to do so.
- You or any person whom you permit to use the “Services” we provide to you have breached or failed to comply with a provision of any of these Terms ( agreement ), our User Guides or any other guidance we provide to you.
- You are in violation of any law of the land/country where you operate your fashion/tailoring business in connection to Stitch and the Site. For instance ( but not limited to), using Stitch or Site products to defraud people.
inactivating/cancelling yout user account
Your Site "User Account" will continue to be active and in effect up until such a time where you:
- default on payment for a last/penultimate usage cycle of 30 days (21 days for the very first cycle of usage of the “Services” ).
- indicate the will to discontinue with your Site “User Account” and/or our “Services” thereby terminating your agreement with us. Should you choose to discontinue, you must do so immediately after paying for the last/penultimate usage cycle. This is because the Site “Service” is post-paid.
You may discontinue with your Site “User Account” at any time and discontinuation will be effective immediately.
These terms ( agreement ) and the transactions contemplated herein shall be governed by, construed and interpreted in accordance with the laws of the Federal Republic of Nigeria. This will be without regard to the choice-of-law principles thereof. The African Union trade laws apply fully to these terms ( agreement ) however the United Nations Convention on Contracts for the International Sale of Goods do not apply. Any litigable issue to which action seeking redress is mandated arising out of or relating to these terms ( agreement ) must be brought before a competent court of jurisdiction in the capital city of Abuja, Nigeria or the commercial city of Lagos, Nigeria.
